Deals - Sale and Purchase Agreement (SPA) - Manager

In this role, you’ll work within a specialist team in PwC's Deals practice. The Sale and Purchase Agreement (SPA) team specialise in assisting clients with Net Working Capital (NWC) and Net Debt, working independently or alongside the financial due diligence team. We support clients post-signing and completion by preparing or reviewing Completion Statements and Earn-Outs and help resolve related disputes if necessary. Additionally, we play a crucial role in negotiating the financial aspects of transactions, whether buying or selling, aiming to maximise value and ensure no money is left on the table. A typical day will involve managing multiple projects simultaneously in a fast-paced environment, potentially leading a small team to ensure smooth execution and delivery of client engagements. We pride ourselves in collaborating closely with our clients' other advisors, such as investment banks, M&A teams, lawyers, and due diligence teams, to drive value throughout the SPA negotiation process. This is a full-time role with a minimum of 37.5 hours per week - Monday to Friday based in Tāmaki Makaurau / Auckland.

A relevant tertiary qualification in Finance, Economics, Accounting or similar.

5+ years of experience in transaction services or corporate finance, or strong accounting knowledge from an audit background, in a client facing role (or equivalent, with experience in managing stakeholders).

Strong commercial acumen, project management skills, and the ability to work flexibly across multiple jobs. Your expertise in project management will be crucial for handling multiple engagements simultaneously.

Excellent communication skills, both written and verbal, with a knack for building strong client relationships.

An analytical mindset with attention to detail and a commitment to data integrity.

Willingness to learn quickly and take on new challenges.

Comfortable working autonomously or as part of a team.

Responsibilities

  • Lead and manage multiple SPA-related engagements, ensuring timely and high-quality delivery.
  • Collaborate with clients’ other advisers (investment banks, M&A teams, lawyers, due diligence teams) to drive value throughout the SPA negotiation process.
  • Prepare or review Completion Statements and Earn-Outs; assist in resolving related disputes when necessary.
  • Negotiate financial aspects of transactions to maximise value for buyers or sellers.
  • Support post-signing activities and completion work as required.
  • Mentor or lead a small team to ensure smooth execution and delivery of client engagements.
  • Maintain strong client relationships and clear communication throughout engagements.

Qualifications

  • Relevant tertiary qualification in Finance, Economics, Accounting or similar.
  • 5+ years of experience in transaction services or corporate finance, or strong accounting knowledge from an audit background, in a client-facing role (or equivalent, with stakeholder management experience).
  • Strong commercial acumen and project management skills; able to manage multiple engagements concurrently.
  • Excellent written and verbal communication skills; strong client relationship abilities.
  • Analytical mindset with attention to detail and data integrity.
  • Willingness to learn quickly and take on new challenges; comfortable working autonomously or as part of a team.
