EY Parthenon - Manager - Sales and Purchase Agreement Advisory - Transaction Diligence
As our Manager you’ll work with many of the world’s largest organisations, fastest-growing companies and private equity firms on some of the most complex deals in both the Oceania and global market, across a broad variety of industries. This role is based in our Tāmaki Makaurau (Auckland) office. Our roles can potentially be adjusted to work flexibly with reduced hours. Please speak with us about potential options.
Responsibilities
- Manage and participate in SPA advisory engagements for acquisitions or disposals by private equity investors, funds, or strategic corporate clients. This includes working closely with clients, their bankers, and legal advisers, and performing tasks such as cash, debt, and working capital analysis, pricing schedule preparation, and financial reviews of the SPA and Completion Accounts.
- Advise clients on transaction mechanisms and financial analysis by providing insights on the most suitable purchase price mechanisms, analysing financial results through diligence findings and interviews, and supporting negotiations with clients to agree on detailed and compelling outputs.
- Build and maintain relationships with internal contacts and external clients to develop a portfolio of high-value projects, and collaborate with other EY service teams to deliver an integrated approach to clients.
Qualifications
Possess a bachelor’s or master’s degree in accounting, business, finance, or economics, and be a member of the Institute of Chartered Accountants, CAANZ, or an international equivalent. Have at least 5 years of experience in a professional services or chartered accounting environment, or in a financial performance and analysis or mergers & acquisitions role at a corporate organisation.Demonstrated ability to quickly develop, build, and manage relationships with multiple clients and teams, both external and internal. Experience working with senior stakeholders on multiple engagements in a Transaction Diligence role or mergers and acquisitions environment.A keen interest in understanding businesses, transactions, and deal value drivers. Passion for client service excellence, attention to detail, and the ability to grasp complex issues and explain them clearly to non-accountants.What we offer you
