Senior Legal Counsel

About the role

Based in Auckland, this part-time role offers an exciting opportunity to work at the core of a dual-listed (NZX / ASX) business that is expanding globally. You’ll report to a seasoned General Counsel as part of a collegial and well-resourced team. You’ll contribute to a wide range of strategic legal work, with a focus on corporate governance, regulatory compliance, and commercial contracting matters.

Your day-to-day will include advising on board and committee governance, listing rules, ESG and climate-related disclosures, and corporate policies. You’ll also play a key role in supporting transactions such as M&A, capital raises, and strategic investments, while partnering with commercial, product, and technology teams on contracts and partnerships that support global growth.

This role would suit an experienced legal professional who thrives on variety, values collaboration, and enjoys working closely with the business to deliver practical, risk-aware advice that enables smart, strategic decisions.

This is a newly created permanent part-time role based in Parnell, offering flexibility to work some days from home. The position is expected to be approximately 24 hours per week, ideally spread across four days, with 2–3 days in the office and some flexibility in how hours are structured.

What we’re looking for :

• An accomplished lawyer with at least 8 years’ PQE with experience in corporate governance, commercial law, and regulatory compliance, and holds a current practising certificate
• Previous experience advising on NZX and ASX Listing Rules, continuous disclosure obligations, and shareholder meeting requirements
• Strong understanding of governance frameworks, ESG and climate-related disclosures, and listed company reporting obligations
• Experience supporting mergers and acquisitions, capital raising, joint ventures, and investment activity
• Skilled in managing share schemes, board and committee policies, and subsidiary company structures
• Confident working across business functions, with excellent communication and stakeholder management skills
• Proactive, detail-oriented, and comfortable navigating complex legal and commercial environments
